Asklane Pilot Terms

These terms are the agreement between Asklane and your company for the Asklane pilot. The pilot is free and only open to businesses.

1. Who we are and who you are

1.1 We: Alexander Klimin, trading as Asklane, Roedernstr. 6B, 12623 Berlin, Germany. Email: alex@asklane.io ("Asklane", "we", "us").

1.2 You: the company named in the registration ("you", "the Vendor").

1.3 The person who registers accepts these terms on your behalf and confirms that they are authorised to do so. If they are not authorised, the statutory rules on acting without authority apply (section 179 of the German Civil Code, BGB).

1.4 Businesses only. The pilot is only for businesses (entrepreneurs within the meaning of section 14 BGB) that sell to other businesses. Consumers can't join.

2. What the pilot is

2.1 Asklane lets a business buyer's AI assistant (for example ChatGPT, Claude or Gemini) send you a verified inquiry, pre-filled with what the buyer already told the assistant. There are two routes:

3.1 The steps:

  1. You fill in the registration form on asklane.io.
  2. Before you send the form, you can open these terms through the link next to the checkbox, and print or save them. You can check and correct every entry in the form.
  3. You tick the two boxes (you accept these terms; you are allowed to sign up your company) and click "Join the pilot".
  4. We send a confirmation link to the email address you entered. This email also confirms that we received your registration.
  5. The agreement starts when you open the link and confirm. The link is valid for 72 hours. If you don't confirm, no agreement is made, and we delete the registration after 7 days.
  6. After you confirm, we email you a copy of these terms.

3.2 If you notice a mistake in your details after sending the form, don't confirm, or email us and we'll correct it.

3.3 We store the version of these terms that you accepted. It stays available at its own permanent web address, and we send you a copy whenever you ask.

3.4 These terms are available in English only. We have not signed up to any code of conduct.

4. What we do

4.1 Your Profile. We can prepare your Profile from your public website. The Profile stays private until you have checked it, corrected it and approved it.

4.2 Your Listing. After you approve your Profile, we add you to the list of participating vendors on asklane.io. Once the Asklane app is live in ChatGPT and Claude, we list you there too.

4.2a App submissions. To get the Asklane app approved and keep it available, we may include your Profile and Listing in our app submissions and review processes with AI platforms (for example OpenAI, Anthropic, Perplexity and Google). Their reviewers may send test inquiries to you through Asklane. We mark such inquiries as tests where we can, and deliver them like normal Inquiries.

4.3 Your Website Pages. We write the Website Pages for you and agree the setup with your web admin. You publish them, or you give us temporary access to publish them (section 5.4). Nothing goes live before you approve it.

4.4 Delivery. We deliver every Inquiry for you to the email address or addresses you name. If an Inquiry can't be delivered there, we contact you through the email address you registered with.

4.5 Support. You can reach us by email at alex@asklane.io.

4.6 Free. The pilot is free. We don't ask for payment details. Section 10 explains the paid plan, which never starts without your separate opt-in.

4.7 What the pilot does not include. Asklane is in a pilot phase, and we keep improving it. AI assistants are run by other companies (for example OpenAI, Anthropic and Google), and those companies decide how their assistants behave and whether and when they approve apps. The pilot therefore does not include a set number of Inquiries, a promise that an AI assistant will name you or offer your inquiry link, a date for the app's approval, or a set level of availability.

5. What you do

5.1 You give correct details when you register, and you keep the delivery email address up to date and monitored.

5.2 You check the Profile and the Website Pages we prepare, correct anything that is wrong, and tell us when facts change. You are responsible for the facts you approve.

5.3 You publish the approved Website Pages within a reasonable time, or you give us temporary access to do it.

5.6 You add a short section about your inquiry page to your privacy policy. Annex 2 has a suggested text.

5.7 You handle Inquiries lawfully. You use a Buyer's data to answer the Buyer and for related business follow-up that the law allows. If a Buyer chose to keep their contact details private for now, you don't try to identify the Buyer by other means.

5.8 You only provide content you have the right to use, and no unlawful or misleading content.

5.9 You take part in one short feedback call a few weeks after your Website Pages go live.

6. Your content and our rights

6.1 You allow us, free of charge and for as long as the pilot runs, to use your company name, logo, website content and approved facts to create your Profile, to show it in your Listing and to write your Website Pages. This permission is non-exclusive and worldwide, because AI assistants are used worldwide. We pass your content to our service providers only as far as needed to run Asklane.

6.2 Except as set out in section 4.2a, we name you outside your Listing (for example as a founding partner on our website, in a case study or in sales material) only with your separate consent in text form.

6.3 You may use, change and keep the texts we write for your Website Pages, also after the pilot. This does not include the Script or Asklane's name and logo.

6.4 The Script and Asklane stay ours. While the pilot runs, you may use the Script unchanged on your own domain. We may update the Script to fix errors, improve security or keep it working. Before we change what data the Script collects or where it sends data, we tell you in text form. Your statutory rights under sections 69d and 69e of the German Copyright Act (UrhG) are not affected.

6.5 We may use your feedback to improve Asklane. When we do, we don't name you.

7. Content rules and reports

7.1 The following is not allowed in a Profile: unlawful content, false or misleading claims, content that infringes the rights of others, and content unrelated to your business offer.

7.2 If a Profile breaks these rules, we can correct or hide the affected part, or pause your Listing. A person makes this decision, not an automated system. We tell you what we did and why. You can reply to alex@asklane.io and ask us to look at the decision again, and a person reviews it again.

7.3 Anyone can report illegal content in a Profile to alex@asklane.io. This address is also our point of contact for authorities and for users of our service under the EU Digital Services Act (Articles 11 and 12).

8. Data protection

8.1 Who is responsible for which data:

8.2 What we use Inquiries for. We use Inquiries only to verify them, deliver them to you, keep Asklane secure and, if you ask, report numbers about them to you. We don't sell Inquiries, we don't use them for advertising, and we don't use them to train AI models.

8.3 Our service providers.

Both providers are certified under the EU-U.S. Data Privacy Framework. Their data processing agreements also include the EU Standard Contractual Clauses.

8.4 How long we keep data.

9. Confidentiality and security

9.1 Both of us keep confidential any non-public information we receive from the other during the pilot, for example login details, unpublished plans and pilot results. This does not apply to information that is public, that the receiving side already had, or that must be disclosed by law. This duty continues for two years after the pilot ends. For login details and personal data, it continues without a time limit.

9.2 We protect data with appropriate technical and organisational measures (Article 32 GDPR). Annex 1 lists them.

10. Free pilot, and the paid plan only if you opt in

10.1 The pilot is free until further notice. It never switches to a paid plan on its own.

10.2 After the Asklane app is approved in ChatGPT, we'll offer you the founding-partner price:

10.3 The prices on asklane.io on the date of these terms are: Starter USD 99 per month, Pro USD 449 per month, Enterprise by agreement. Prices are net; VAT is added where it applies. The price and plan in the offer you accept are the ones that apply.

10.4 A paid plan starts only if you opt in separately and explicitly, for example by accepting a written offer that shows the price. Staying in the pilot, silence or continued use is not an opt-in. These terms don't oblige you to buy anything.

10.5 If you don't opt in, the pilot stays free until you or we end it (section 12).

10.6 A paid plan is governed by the terms that come with its offer.

11. Liability

11.1 Each of us is liable without limitation:

11.2 For slight negligence, each of us is liable only for breach of an essential obligation. An essential obligation is one that must be fulfilled for this agreement to be carried out properly at all, and that the other side regularly relies on. In that case, liability is limited to the damage that is typical and foreseeable for this kind of agreement.

11.3 Apart from sections 11.1 and 11.2, liability for slight negligence is excluded.

11.4 These rules also apply to the personal liability of each side's employees, representatives and the people it uses to carry out this agreement.

11.5 Liability towards data subjects under Article 82 GDPR is not affected.

12. Ending the pilot

12.1 The pilot starts when you confirm your registration (section 3) and runs until you or we end it.

12.2 Either side can end the pilot at any time, without giving a reason, by a message in text form.

13. Changes to these terms

13.1 If we want to change these terms, we send you the new version in text form and ask you to accept it. The new version only applies if you accept it.

13.2 If you don't accept the new version, the current terms continue until you or we end the pilot.

13.3 A change can never introduce fees. A paid plan always needs your separate opt-in (section 10).

14. Final provisions

14.1 German law applies. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.

14.2 If you have no general place of jurisdiction in Germany, the courts of Berlin, Germany, have exclusive jurisdiction for all disputes arising from or in connection with this agreement. Otherwise, the statutory rules on jurisdiction apply.

14.3 Notices, approvals and consents under these terms can be given in text form. Our address is alex@asklane.io. Yours is the email address you registered with, or another address you give us.

14.4 Individual agreements with you take precedence over these terms. These terms, including the annexes, take precedence over the general Asklane Terms of Service where the two differ.

14.5 If a provision of these terms is invalid, the rest of these terms remains valid.


Annex 1: Data processing terms for Inquiries through your inquiry page (Article 28 GDPR)

This Annex applies to Inquiries that Buyers send through the inquiry page on your website (section 8.1(b)). You are the controller; we are your processor.

A1.1 Subject and duration. We process the personal data in these Inquiries on your behalf while the pilot runs, during the delivery period in section 12.3(c), and until the data is deleted under A1.10.

A1.2 Nature and purpose. Receiving the Inquiry from the Script; sending the Buyer a link to confirm their email address; storing the Inquiry; delivering the confirmed Inquiry to your email address; protecting the service against spam and misuse; and, if you ask, reporting numbers about Inquiries to you.

A1.3 Types of personal data. The Buyer's email address; name and role, if the Buyer gives them; company name and website; the content of the Inquiry (for example needs, team size, budget, timeline and open questions); the Buyer's choices (for example whether to share contact details now); confirmation status and times; technical data needed for delivery and security (IP address, browser information, result of the spam check).

A1.4 Data subjects. Buyers who use your inquiry page, and people named in an Inquiry.

A1.5 Your instructions. These terms are your documented instructions. You can give further instructions in text form, for example a shorter storage period. We process the data only on your instructions, including for transfers to countries outside the EU, unless EU or German law requires us to do otherwise; in that case, we tell you before the processing, unless that law forbids it. We tell you immediately if we think an instruction infringes data protection law.

A1.6 Confidentiality. Everyone we authorise to process the data is committed to confidentiality.

A1.7 Security (Article 32 GDPR). We use these measures:

We may update these measures, as long as the level of protection does not go down.

A1.8 Sub-processors. You give us general authorisation to use sub-processors. We currently use:

We impose the same data protection obligations on our sub-processors as this Annex imposes on us. Before we add or replace a sub-processor, we tell you in text form. You can object on reasonable grounds. If we can't resolve your objection, you can end the pilot. We are responsible for our sub-processors as for our own conduct.

A1.9 Transfers outside the EU. Both sub-processors process data in the USA. Both are certified under the EU-U.S. Data Privacy Framework, and their data processing agreements also include the EU Standard Contractual Clauses.

A1.10 Deletion and return.

Every delivered Inquiry is also already in your own inbox.

A1.11 Assistance. As far as the nature of the processing allows, we help you (a) to respond when Buyers exercise their rights (for example access or deletion), and (b) with your duties under Articles 32 to 36 GDPR (security, reporting data breaches, impact assessments). If a Buyer contacts us directly about an Inquiry sent through your page, we forward the request to you.

A1.12 Data breaches. We notify you without undue delay after we become aware of a personal data breach that affects your Inquiries, with the information we have.

A1.13 Information and audits. We give you all information needed to show that we comply with this Annex. We allow and contribute to audits, including inspections, by you or an auditor you appoint, after reasonable notice. You bear the cost of your audits.

A1.14 Liability. Section 11 applies. Liability towards Buyers under Article 82 GDPR is not affected.


Annex 2: Suggested text for your privacy policy

Adapt this text to your own privacy policy. Replace the parts in square brackets.

Inquiries through our inquiry page

When you send us an inquiry through our inquiry page ([your-domain]/inquiry), we receive the details you entered or approved: your email address and, if you provide them, your name, role, company, website and the content of your inquiry. We use them to answer your inquiry. The legal basis is Art. 6(1)(b) GDPR where your inquiry concerns a contract with you, and otherwise Art. 6(1)(f) GDPR (our legitimate interest in answering business inquiries).

The inquiry page can be pre-filled by a link, for example one that your AI assistant prepared for you. The pre-filled details are in the part of the link after the "#". Your browser does not send this part to our web server. The details only leave your browser when you send the inquiry.

We use Asklane (Alexander Klimin, Roedernstr. 6B, 12623 Berlin, Germany) as our processor for this page. Asklane sends you a link to confirm your email address, stores your inquiry and delivers it to us. Asklane uses Cloudflare, Inc. and Plus Five Five, Inc. (Resend) in the USA as sub-processors. These transfers are based on the EU-U.S. Data Privacy Framework and the EU Standard Contractual Clauses. Asklane deletes unconfirmed inquiries after 7 days and confirmed inquiries 12 months after delivery. We keep the inquiries we receive for as long as we need them to handle your request and as the law requires. [Add your rights section reference.]
